Law 4548/2018 (Government Gazette Bulletin A’ 104/13.6.2018) «Reform of the Law on Sociétés Anonymes».
After almost 100 years, Law 2190/1920 on Sociétés Anonymes is abolished. The new law radically reforms the relevant legislation updating several fragmentary amendments already introduced since 2007 and harmonizing the relevant legislation with various European Directives and other regulatory texts.
The main regulations of the new law relate to state supervision, new minimum share capital and other share capital related provisions, including abolishment of bearer shares, share capital reduction, issues related to the acquisition and transfer of titles and methods of operation of the corporate bodies. Further, the regulations relate to issues of minority rights and liquidation. Finally, the auditing competence of public or other bodies as regards the evaluation of contributions in kind, the certification of payment of the share capital, as well as the right of filing of a petition for extraordinary audit is abolished.
